Anguilla LLC: Structure, Members and the Operating Agreement

The Anguilla Limited Liability Company is formed under the Limited Liability Company Act 2014, drafted along US lines and closest in structure to a Delaware LLC. It sits outside the Business Companies Act 2022, so it survived the 2022 consolidation of Anguilla’s company law as a separate form.

It has members holding membership interests, not shareholders holding shares, a distinction most published material on Anguilla gets wrong, and one that determines how the whole structure works.

What is an Anguilla LLC?

An Anguilla Limited Liability Company (LLC) is a legal entity that blends features of both corporations and partnerships.

Anguilla imposes no corporate income tax, capital gains tax or estate tax, so an LLC pays nothing at entity level. There is nothing to elect into and nothing to claim. This is not the same as an exemption on worldwide profits, as that question belongs to the members’ own jurisdictions.

There is also no withholding tax payable on distributions made to members. This significantly simplifies financial planning. However, you must remember your tax obligations in your home country. You should always speak with a tax professional where you live to understand your responsibilities.

Profits are allocated to members as the operating agreement provides. Allocations commonly follow ownership percentages or capital contributions, but they need not — this is one of the form’s main advantages.

The Anguilla LLC: Key Features Explained

So, what exactly makes an Anguilla offshore LLC so attractive? Below are the most important features to consider prior to the incorporation of an Anguilla limited liability company.

A Separate Legal Identity

This is a fundamental concept in company law. An LLC owns assets, signs contracts, and goes to court in its own name. The corporate veil separates the company’s liabilities from those of its members and managers — it is a liability barrier rather than a privacy mechanism, and privacy is dealt with separately below.

For you as the owner, it creates a strong wall between the assets of the LLC and personal assets. If the limited liability company faces a lawsuit, your personal assets are not part of the judicial procedure, and vice versa.

Privacy Protections

Privacy is another core reason to choose an Anguilla LLC. The details of members and managers are not listed on any public register.

An LLC has no shares, as members hold membership interests, therefore the bearer share question does not arise. It does for the Anguilla Business Company, where the bearer shares are prohibited outright.

Anguilla cooperates with international law enforcement. It follows FATF global standards to prevent illegal activities. Therefore, Anguilla will provide privacy for legitimate business, not for hiding from the law.

Beneficial ownership information is filed with the Registrar and held on a register that is not publicly accessible, and Anguilla exchanges account information under CRS and FATCA. Privacy here means privacy from the public, not from tax authorities.

Simple Management and Structure

An Anguilla LLC removes unnecessary complexity. As the many offshore companies, it is designed for ease of use. The company does not need to appoint local directors/managers, or have board meetings in Anguilla, or appoint a company secretary.

As an option, the company can be managed directly by its members. Alternatively, members can appoint a manager. This flexibility is perfect for a sole entrepreneur or a small group of partners. The minimum number of members required for formation is one.

One of the advantages of Anguilla LLC incorporation is that you have almost total freedom in how you set up the LLC corporate internal rules. This is done through a document called the Operating Agreement. It allows members to determine how profits are allocated, how decisions are made, and what happens when a member transfers their membership interest or resigns.

Anguilla LLC Formation in Brief

An Anguilla LLC is formed in one to two business days. Your registered agent checks the name, prepares the Articles of Formation, files them through the Commercial Registration Electronic System (CRES), which replaced the older ACORN network in April 2022,  and returns the Certificate of Formation.

The Operating Agreement

While the Articles of Formation outline essential information of the company, the Operating Agreement is what governs it. This is the company’s internal rulebook. It is a private document and is not filed with the Anguilla government.

This agreement is highly flexible. It outlines things like:

  • Who the members are and their ownership percentage.
  • How profits and losses will be distributed among the members.
  • Who has the authority to manage the LLC.
  • How new members can be added and how existing members can resign or transfer their interests.

Although it is not legally required to have one, creating a thorough operating agreement is a smart way to prevent future disputes. Note that an LLC has no share capital and no share classes: differentiated economic and voting rights are created inside the agreement itself, which is precisely the flexibility the form offers.

Ongoing Obligations of LLC

An LLC must maintain a registered agent and registered office in Anguilla at all times and pay an annual government fee through the agent. There is no corporate tax return, no requirement to file financial statements publicly and no audit requirement, though financial records must be maintained.

Reporting is light but not absent, and this is where owners most often come unstuck. The LLC must keep its beneficial ownership information current with the Registrar and file an annual economic substance declaration — including a nil declaration where no relevant activity is carried on. Economic Substance of Anguilla LLC

A critical topic for any modern offshore structure is economic substance. Anguilla, like other reputable jurisdictions in the Eastern Caribbean, has implemented these regulations to meet international standards. The rules are meant to prevent companies from being the so-called “shell companies” with no real connection to the jurisdiction.

Economic substance requirements apply where an LLC carries on one of the nine relevant activities. Holding companies that only hold equity participations and earn dividends and capital gains face a reduced test that is straightforward to meet.

Only when your LLC performs one of these activities, it must demonstrate it has adequate substance in Anguilla. This usually involves showing it is directed and managed in Anguilla, has adequate employees and physical presence, and incurs adequate expenditure. An LLC carrying on none of these activities still files a nil declaration, which is the point most often missed. When an Anguilla LLC Fits

The LLC suits members who want economic and voting flexibility that would be clumsy to build with share classes, or who want ownership transfer restricted by default.

It is the wrong tool where the underlying business is genuinely conducted somewhere that will treat the LLC as tax resident there, or where a bank or counterparty needs a jurisdiction with deeper institutional recognition — see our Anguilla vs BVI comparison. Does an Anguilla LLC have shares?

No. Members hold membership interests. There is no share capital, no par value and no share classes; economic and voting rights are defined in the operating agreement.

Is an operating agreement required?

Not legally, but going without one is unwise. Absent an agreement, a dispute between members is resolved by whatever default rules the Act supplies — rules nobody chose.

Are members and managers publicly listed?
