Nevis LLC Formation: Asset Protection, Costs and Requirements

The Nevis limited liability company is the strongest creditor-protection vehicle in the Caribbean for one reason: under its Company Ordinance, a judgment creditor taking action against a member’s interest has only one way to do so and, only three years in which to do so. The company’s assets are shielded from any such action, however.

That is a statutory position, not a marketing claim, and this guide explains it, along with the sections that create it. It also covers what a Nevis LLC costs, how formation works, what you must maintain afterwards. Just as importantly, this guide explains the three things a Nevis LLC does not do, because structures sold based on overstated protection are the ones that fail when tested.

What is a Nevis LLC?

A Nevis LLC is a limited liability company formed under the Nevis Limited Liability Company Ordinance, Cap 7.04(N), as amended — most recently in accordance with the Nevis Limited Liability Company (Amendment) Ordinance, 2023.

Anyone familiar with a US LLC will also recognize how a Nevis LLC is structured, and this isn’t surprising since the Nevis statute was drafted based on the American model. Ownership consists of membership interests rather than shares, so no share certificates are issued. Members can manage the LLC themselves or through appointed managers. A Nevis LLC may be limited to a single member, and that member may be an individual, a company, a trust or a foundation, of any nationality and residence.

The company is a separate legal person. This means that like other LLCs, it contracts, holds assets, sues and is sued in its own name, and its members are not personally liable for its obligations. What differentiates a Nevis LLC from other companies the second wall Nevis builds — the one that stops a member’s creditor from obtaining company assets.

How Nevis LLC Asset Protection Works

This is the section that matters, and it is worth being precise, because the protection comes from four distinct mechanisms that are often blurred together.

The charging order is the sole remedy

If a creditor obtains a judgment against you personally and you hold an interest in a Nevis LLC, the creditor cannot take it. Section 60(5) of the Ordinance provides that the remedies it specifies “shall be the sole remedies available to any creditor of a member’s interest.” Section 60(6) eliminates alternatives such as foreclosure, seizure, levy and attachment.

What the creditor can obtain is a charging order — a direction that any distribution the LLC would have made to you is instead paid to the creditor. Note what that does and does not do. It only intercepts distributions if any are made. It does not make the creditor a member. It confers no voting rights, no management rights, no ability to force a distribution, and no claim on the assets the company holds. This prevents any disruption as far as the LLC is concerned and leaves the creditor with a right to money that may never move.

The charging order only remains in effect for three years

Although it is arguably the most consequential, Section 60(15) is the provision most competitors omit. It states: “A charging order shall be non-renewable and shall expire three (3) years after the date the order is entered.”

A creditor who wins a charging order and waits gets nothing upon expiration of the three-year provision, and cannot reapply. For creditors, this stipulation combined with the sole-remedy rule, changes the economics of pursuing a Nevis member entirely. Specifically, they must decide whether the cost of pursuing a charging order against a Nevis LLC member is worthwhile given its limitations.

To litigate, a creditor must post security with the amount set by the court

Clearly, this is an important issue. However, the published material throughout the offshore industry is out of date, including earlier versions of this page.

A creditor who wants to bring proceedings in Nevis must post security. But the Nevis High Court determines the amount and retains the power to change it as the matter continues. A financial institution in Nevis provides the security. The frequently quoted “US$100,000 bond” is a figure from the pre-2017 statutory language and is not a fixed requirement under the Ordinance as it now stands.

The practical effect is unchanged and is still a serious deterrent — a creditor must pay to retain Nevis counsel and post court-determined security before the case begins. But a client relying on a fixed six-figure barrier no longer in effect is a client who has been misinformed, and we would rather you plan based on current information.

Foreign judgments are not automatically enforced

Just because a creditor has gotten a US, UK or EU judgment doesn’t mean that it automatically takes effect in Nevis. Instead, a creditor must commence a fresh action in Nevis, under Nevis law, through locally admitted counsel, and reprove the case against a member of a Nevis LLC. In most cases, the combined cost of re-litigating abroad, retaining local counsel and posting security in an amount set by the court, exceeds the realistic recovery — and therein lies the deterrent at the crux of the structure.

What a Nevis LLC does not do

There are three restrictions on a Nevis LLC. Here is a quick summary.

It does not protect against fraudulent transfer. Assets moved into an LLC to defeat a creditor who already has a claim may be classified as a fraudulent conveyance. In this context, timing is everything: protection is created before a dispute exists, not after. Therefore, it is critical that you keep records showing you were solvent both before and immediately after any transfer.

It does not change your tax position at home. Your country of residence taxes you on your worldwide income in accordance with applicable rules. Controlled-foreign-company and management-and-control tests will usually determine the real outcome — as per the information in the tax section below.

It does not create “invisibility”. Saint Kitts and Nevis participates in the OECD Common Reporting Standard and maintains a FATCA arrangement with the United States. Accordingly, any information concerning your financial accounts is automatically shared with partner tax authorities. Being shielded from public scrutiny is not the same as invisibility to tax administrations, and any provider selling it as such is misleading you.

Why choose a Nevis LLC

Beyond protection from creditors, these are the practical advantages:

No minimum capital. The Ordinance does not call for a minimum contribution, so the company is capitalised to suit the commercial reality.

Privacy of ownership. Nevis does not keep a public register of members or managers. Your licensed registered agent collects and holds that information in accordance with the AML framework and is not open to public inspection. There is no public beneficial-ownership register and no “legitimate interest” access mechanism identical to those now operating in several peer jurisdictions.

Flexible management. A Nevis LLC may be managed directly by members or by appointed managers and allow for a single member. The operating agreement governs the internal relationship and can be drafted to fit almost any arrangement.

Speed. Subject to clean due diligence, formation takes only 24–48 hours, with no requirement to travel.

Light maintenance. Mandatory filing of accounts or annual returns No accounts or annual returns are filed with the Registrar. The obligations that do exist are detailed below.

Corporate and fiduciary ownership. A company, trust or foundation may hold membership interests, which makes the layered structures above possible.

Nevis LLC formation: step by step

Creation of a Nevis LLC must be done through an FSRC-licensed registered agent. Only a licensed trust and corporate service provider can file with the Registrar. The good news is that the process is fully remote. 1. Choose and reserve the name. It must be distinguishable from existing entities and end with Limited Liability Company, LLC or L.L.C. Reservation through the agent is basically instantaneous.

2. Complete due diligence. Each member and manager must provide a certified passport copy, proof of residential address and a source-of-funds explanation. In practice this step sets your timeline — incomplete documentation, not the Registry, is what usually causes delays.

3. File the Articles of Organization. This is the LLC’s constitutional document, which is filed with the Registrar of Companies. It records the company name, the registered agent and registered office in Nevis, and confirms formation under the Ordinance. On approval the Registrar issues the Certificate of Formation.

4. Execute the operating agreement. Not filed with the Registrar, and not optional in any practical sense — see below.

5. Arrange banking and any licensing. Covered below and, where a regulated activity is involved, licensing conditions apply.

The operating agreement

The operating agreement is the single most neglected document in offshore LLC formation, and the one that decides whether the structure withstands scrutiny.

It is an internal agreement between the members that is not filed publicly. It governs management structure, capital contributions, allocation of profits and losses, admission and withdrawal of members, transfer restrictions, distribution policy, and dispute resolution. Because the Ordinance leaves most of this to the members, the agreement — not the statute — is what determines how your company runs.

Finally, here are two points that are seldom addressed. Distribution discretion is an asset-protection feature. A charging order intercepts distributions; an agreement that gives a manager genuine discretion over whether to distribute is materially stronger than one mandating regular distributions. Draft it before there is a dispute and draft it so the discretion is real. This also applies to a single-member LLC. It serves as proof of the separation between the company and you personally, which is what a court examines when asked to disregard the entity.

Optional and often added: apostilled document sets, certificates of good standing or incumbency, and corporate bank account introductions.

There are two things about the annual figure that merit an explanation. First, it is not discretionary maintenance — if government and agent fees go unpaid the company can be struck off the register, and while restoration is usually possible it costs more than renewal and leaves a period during which you cannot obtain a Certificate of Good Standing. Secondly, a struck-off LLC is not protecting anything: the creditor position described above depends on the company being in good standing. Renewal is the cheapest compliance cost in the entire setup.

Requirements and ongoing compliance

As with any other business structure, a Nevis LLC has a set of requirements and ongoing compliance that you must keep up with. Here is a quick summary for your convenience.

Registered agent and registered office. Both must be maintained in Nevis continuously through an FSRC-licensed provider; we act as registered agent only for the companies we form. You can verify any agent’s licence on the FSRC regulated-entities list , where they are listed as trust and corporate service providers.

Corporate records. The register of members and managers, minutes and resolutions, and beneficial-ownership records must be maintained and kept by the registered agent or at an address that they are aware of for those purposes. They are not filed publicly, and we keep them under our administration and secretarial service.

Accounting records. Must be kept and must reflect the company’s transactions and position. No accounts or audited statements are filed with the Registrar, but this does not mean that you shouldn’t follow good record-keeping practices. In fact, banks usually ask about a Nevis LLC’s record keeping practices. Accounting support is available where you need it.

Annual renewal. There are government and agent fees, as noted above.

Annual tax return. A Corporate Income Tax Return on Form CIT-101 must be filed with the Inland Revenue Department within three and a half months of the financial year end, and it is due even where the company has not had any transactions. See our CIT-101 filing guide.

Economic substance. Nevis imposes no dedicated economic-substance regulations like those operating in the British Virgin Islands, the Cayman Islands or the Seychelles. A standard Nevis LLC is under no obligation to employ local staff, incur local expenditure or maintain premises on the island. Licensed activities — banking, insurance, fund management and similar — are a different matter and carry their own substance and licensing conditions.

Taxation of a Nevis LLC

Nevis is often described as tax-free. That is reasonable considering where most offshore business structures end up, but it is not accurate based on the law, and the distinction matters if you are relying on it.

Corporate income tax in the Federation is governed by the federal Income Tax Act, Cap 20.22 — not by the Nevis corporate Ordinances — and the standard rate is 33% on net profits. Liability is based on residence and source: a resident company is broadly taxed on worldwide income, while a non-resident company is taxed only on income arising in, or derived from, Saint Kitts and Nevis.

In practice a Nevis LLC that does not do business in the Federation and derives no income from local sources generally has no Nevis corporate income tax charge on its profits from foreign sources. That is really why the LLC is classified as tax-neutral for genuinely offshore activity. It is a conclusion based on analysis and annual filing, not an automatic exemption. In this context, it is important to note that the CIT-101 return must be filed regardless.

The local status is also only-company rules and place-of-effective-management tests generally determine how the LLC’s income is actually taxed. It is especially important for US members to take advice on business classification and the reporting that follows because foreign LLCs are not subject to automatic treatment and the filing obligations are significant.

Opening a bank account for a Nevis LLC

Formation and banking are separate exercises, and the second is the more difficult of the two. Global compliance standards have made it more demanding for offshore entities to open bank accounts, and the following are usually required: full source-of-funds documentation, a clear commercial rationale for the structure, and enhanced due diligence.

Ownership and control questions

Can a company own a Nevis LLC? Yes. Membership interests may be held by an individual, a company, a trust or a foundation, of any nationality and residence. Corporate membership is common in holding structures.

Can I manage my own LLC? Yes — member-managed is permitted and widely used. There is one catch, however. When the debtor member also controls distribution decisions, a court examining the structure has more to work with than when genuine discretion exists elsewhere. For where protection is the greatest concern, we usually recommend separating those roles, often using a nominee manager.

Can I be the sole member? Yes. A single-member Nevis LLC is expressly permitted. However, you should still have an operating agreement.

Can I move an existing company into Nevis? Yes. A foreign entity can be redomiciled into Nevis, retaining its legal identity, assets and contracts rather than starting again — see re-domiciliation.

When a Nevis IBC fits better

The LLC is the asset-protection vehicle. Conversely, if you need share capital that can be issued and transferred, a board-of-directors governance model, the ability to admit investors, or an entity a bank or counterparty will interpret and classify as a conventional company limited by shares, the Nevis IBC is the preferable option. This is because the charging-order described above is specific to the LLC and does not attach to the corporation.
