BVI Extends Deadline for Filing Initial Annual Returns for All Companies

The British Virgin Islands (BVI) Financial Services Commission (FSC) has announced an extension to the deadline for companies to file their initial annual returns, as outlined under section 98A of the BVI Business Companies Act 2020. This change applies to companies whose fiscal or financial year does not follow the calendar year. These companies, originally required to file their annual returns starting on or after October 1, 2024, depending on their financial year-end, now have an additional nine months to fulfill this obligation.

A similar extension had already been granted to companies with a fiscal year that aligns with the calendar year. These companies were initially required to file their returns by September 30, 2024, but now have a delayed deadline as well. The decision to extend the filing period for all companies comes as the BVI FSC cited logistical and policy challenges in ensuring full compliance with the regulations.

This extension reflects the FSC’s ongoing efforts to accommodate the practicalities of business operations in the BVI, ensuring that companies have ample time to comply with the filing requirements under the updated Business Companies Act.
